Richard Carlyn Richard Carlyn has more than 25 years experience as a practicing business lawyer and corporate executive. As a senior partner in a Boston law firm, he has advised Boards of Directors for both public and private companies. He has also served as an officer and inside general counsel for a company with publicly traded securities. With his background in corporate governance, Carlyn not only understands the increasing duties incumbent on directors but also appreciates the positive role they can play on boards and committees. |

Carlyn has extensive experience in the pharmaceutical industry. For 15 years he was lead outside counsel of a multinational pharmaceutical company and served in a similar role for a domestic drug company. In such capacities he was responsible for valuing and licensing intellectual property, structuring joint ventures and negotiating research and development arrangements, both domestically and abroad. He was instrumental in constructing state-of-the-art R&D and drug manufacturing facilities from land acquisition through construction and permitting. He has also practiced before the Food & Drug Administration on sensitive matters including new drug and device applications, regulatory actions and recalls. For nearly a decade, Carlyn served as vice president and in-house general counsel of a leading home furnishings manufacturer. He was involved in their IPO and later helped bring the company through a leveraged buyout. As an executive officer, Carlyn was also heavily involved in its operations, including mergers and acquisitions, financing, employee compensation and real estate transactions. More recently, Carlyn co-founded and served as CEO of a specialty pharmaceutical company. In this capacity he has successfully concluded agreements with both leading companies and the federal government. Carlyn is a cum laude graduate of Boston College Law School. He is a member of the Massachusetts and Federal Bar and was admitted as counselor of The Supreme Court of the United States in 1997. |
